2.1 Binding Agreement
Your use of the Site and our services constitutes your agreement to these Terms. If you do not agree to any part of these Terms, you may not use our Site or services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site, with the Last Updated date revised accordingly. It is your responsibility to review these Terms periodically. Your continued use of the Site following any changes constitutes your acceptance of the modified Terms.
For material changes affecting the pricing or core features of paid subscription services, we will provide at least 30 days' advance notice via the email address associated with your account. Paid subscribers may cancel before such changes take effect without penalty.
2.3 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Rochester, New York, for resolution of any disputes.
3.1 Your Responsibilities
You are solely responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.2 Acceptable Use
You agree to use the Site and our services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Site. Prohibited behavior includes:
- Harassing any person or causing distress or inconvenience
- Transmitting obscene or offensive content or disrupting normal dialogue within the Site
- Attempting to gain unauthorized access to our systems or networks
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Site or services
- Scraping, harvesting, or automatically downloading content from the Site, except for reasonable personal use

This license does not include the right to download, reproduce, distribute, transmit, broadcast, or otherwise use any Site content for any commercial purpose or public performance without our express written permission.
4.3 Restrictions on Site Content
You agree that you will not, without our prior written consent:
- Copy, download, rip, or extract audio from the Site except through authorized download features
- Re-upload, redistribute, or publicly perform our music
- Create derivative works based on our music or content
- Use our music in any film, video, podcast, stream, or commercial project without permission
- Attempt to remove or modify any copyright notice, watermark, or metadata
- Share or transfer access credentials for paid subscriptions or purchased content
4.4 No Implied License
Listening to our music on the Site does not grant you any synchronization rights, mechanical reproduction rights, public performance rights, or any other rights beyond personal listening. Any commercial use requires a separate written license agreement.
5.1 License Grant for Purchased Digital Products
When you purchase a digital product from The Orchestra of Bandit Wolves, including loop kits, stem packs, sample collections, or music scores, you receive a non-exclusive, non-transferable, worldwide license to use the files subject to the restrictions in this section.
5.2 Permitted Use of Digital Products
Your purchased digital products may be used for:
- Personal, non-commercial creative projects
- Client work and commercial projects when used as part of a derivative work
- Synchronization in visual media including film, television, and streaming
- Inclusion in paid and unpaid commercial services such as music supervision and audio branding
- Interactive media and applications
Attribution to The Orchestra of Bandit Wolves is appreciated but not required unless specified in product documentation.
5.3 Prohibited Use of Digital Products
You agree not to:
- Redistribute, resell, or re-package the raw digital product files
- Upload the files to sample packs, music libraries, or content ID systems as your own
- Share the files with collaborators, band members, or third parties without permission
- Use the files for training, fine-tuning, or otherwise feeding generative AI models
- Create sound-alike derivative products marketed as sample packs or loops
- Grant sublicenses to third parties
- Remove or alter metadata, copyright notices, or watermarks
- Use the files in competing sample or loop library services
5.4 All Sales Final
Digital products are delivered immediately upon purchase and are non-refundable because of instant digital delivery and the risk of unauthorized copying, unless your jurisdiction requires otherwise or you have a legitimate claim of non-delivery or unauthorized charge.
5.5 License Termination
Your license to use digital products terminates immediately upon violation of these Terms. Upon termination, you agree to cease all use and delete the files from all devices and storage systems.
6.1 Quarterly Chronicles Subscription
If you purchase a subscription to our newsletter and exclusive content, the following terms apply:
- Free tier: Access to quarterly public newsletter content
- Paid tier: Exclusive essays, musical commentary, quarterly music downloads, and access to the back catalog
6.2 Auto-Renewal and Billing
Paid subscriptions auto-renew on a monthly or annual basis as selected at purchase. Charges will appear on your billing method on or near your renewal date. You acknowledge that you authorize recurring charges for the duration of your subscription unless cancelled.
6.3 Price Changes
We reserve the right to change subscription pricing upon 30 days' notice. Existing subscribers will retain their current pricing for one renewal cycle, after which new pricing will apply on the next renewal.
6.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle, and no refunds are issued for partial months or years. To cancel, visit your account settings or contact us directly.
6.5 Mid-Cycle Cancellation
If you cancel mid-subscription cycle, you will retain access to paid features through the end of the current billing period. No refunds are issued for the unused portion of your current cycle. No additional charges will be made after cancellation takes effect.
6.6 Access Suspension
We reserve the right to suspend or terminate your subscription access if:
- Your payment method declines or is invalid
- You violate these Terms or our acceptable use policy
- Your account is flagged for fraud or abuse
7.1 Your Submissions
If you submit content to the Site, including comments, artwork, testimonials, or other user-generated material, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content for promotional and operational purposes.
7.2 Disclaimer of User Content Responsibility
While we do not actively monitor user submissions, we are not responsible for user-generated content or any claims arising from it. We reserve the right to remove any content that violates these Terms or is otherwise objectionable, and we may do so without prior notice.
7.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Site or our services may be used by us without restriction or compensation to you.
8.1 No Endorsement
The Site may contain links to third-party websites, streaming platforms, or services. We are not responsible for the content, accuracy, or practices of these external sites. Your use of third-party sites is governed by their own terms and privacy policies.

We use third-party services and embedded players for music delivery, e-commerce, and analytics. These services have their own terms of service, and your use of these platforms is subject to their policies and not our control.
9.1 As-Is Disclaimer
The Site and all content, services, and digital products are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Specific Disclaimers

9.3 Limitation of Liability
To the fullest extent permitted by law, The Orchestra of Bandit Wolves shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services, including loss of revenue, loss of data or files, interruption of service, damage to your devices or creative work, or claims arising from third-party content or services. Even if we have been advised of the possibility of such damages, our total liability shall not exceed the amount you paid for the product or service that caused the damage, or $100 USD, whichever is less.

You acknowledge that these disclaimers and limitations are essential terms without which we would not offer the Site or services.
10.1 Commercial Use and Licensing
The Orchestra of Bandit Wolves owns or controls all compositions, recordings, and arrangements on the Site. Use of our music in any commercial context beyond the scope of purchased digital products requires a separate written synchronization or licensing agreement.
10.2 Inquiry Process
For inquiries regarding film sync, television placement, advertising, or other commercial licensing, please contact us directly. License terms and fees are negotiated case by case and are not covered by these Terms of Use or digital product licenses.
10.3 No Grant of Rights
Nothing in these Terms grants you any rights to our music beyond those explicitly stated. Any use outside the scope permitted by these Terms or your specific purchase is a violation of our intellectual property rights.
11.1 Privacy Policy
Your use of the Site is also governed by our separate Privacy Policy, which outlines how we collect, use, and protect your personal data. By using the Site, you consent to our privacy practices as described in that policy.
11.2 Data Security
While we implement reasonable security measures, we cannot guarantee absolute security of your data. You use the Site at your own risk.
12.1 Right to Terminate
We reserve the right to terminate or suspend your account or access to the Site if we reasonably believe you have violated these Terms or pose a risk to the Site or other users. For violations involving fraud, illegal conduct, or active harm to the platform, termination may be immediate and without prior notice. In other cases, we will endeavor to provide reasonable notice. Paid subscribers whose accounts are terminated without cause will be credited for any unused portion of a current billing period.
12.2 Consequences of Termination
Upon termination:

- Your subscription access is immediately suspended
- You retain no rights to our content
- We may retain records for legal and operational purposes
13.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless The Orchestra of Bandit Wolves, its owners, officers, employees, and agents from any and all claims, damages, losses, liabilities, and expenses, including attorney's fees, arising from:
- Your use of the Site or services
- Your violation of these Terms
- Your infringement of any third-party intellectual property rights
- Your violation of any applicable laws
14.1 Entire Agreement
These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and The Orchestra of Bandit Wolves regarding the Site and services and supersede all prior or contemporaneous agreements, understandings, or communications.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
